Please read these Terms and Conditions carefully before engaging the services of Smartpine. By using our services, you agree to comply with and be bound by the following terms and conditions:

1. Services:

1.1 Smartpine specializes in web design and development services, including but not limited to website creation, redesign, maintenance, and optimization.
1.2 We will perform the agreed-upon services with reasonable care, skill, and professionalism to meet your requirements and expectations.

2. Client Responsibilities:

2.1 You are responsible for providing accurate and complete information necessary for the design and development process, including project objectives, content, images, and any other relevant materials.
2.2 You agree to provide timely feedback and approvals during the project timeline. Any delays caused by your failure to provide necessary feedback or approvals may result in project timeline adjustments.

3. Intellectual Property:

3.1 Any pre-existing intellectual property provided by either party shall remain the property of that party.
3.2 Upon project completion, the intellectual property rights to the custom design, code, and other elements created by Smartpine will be transferred to you upon receipt of full payment.

4. Content and Materials:

4.1 You are solely responsible for ensuring that any content, images, or other materials provided for the project do not infringe upon any copyright, trademark, or other proprietary rights of third parties.
4.2 Smartpine is not responsible for reviewing or verifying the legality, accuracy, or appropriateness of the content or materials provided by you.

5. Payment Terms:

5.1 Smartpine will provide you with a detailed cost estimate for the project, including any applicable taxes or additional charges.
5.2 A deposit payment may be required before the project commences, with the remaining balance due upon project completion or as otherwise agreed.
5.3 Failure to make timely payments may result in project delays or suspension until payment is received.

6. Confidentiality:

6.1 Both parties agree to maintain the confidentiality of any confidential information disclosed during the project, including business plans, trade secrets, or any other proprietary information.
6.2 Confidential information shall not be disclosed to any third party without the written consent of the disclosing party, except as required by law.

7. Limitation of Liability:

7.1 Smartpine shall not be liable for any indirect, incidental, special, or consequential damages arising out of or related to the services provided, including but not limited to loss of data, profits, or business interruption.
7.2 Our maximum liability to you, whether in contract, tort (including negligence), or otherwise, shall not exceed the total amount paid by you for the services rendered.

8. Termination:

8.1 Either party may terminate the project and these terms and conditions with written notice if the other party fails to comply with any material provision.
8.2 In the event of termination, you will be responsible for payment for the services provided up to the date of termination.

9. Governing Law and Jurisdiction:

9.1 These terms and conditions shall be governed by and construed in accordance with the laws of England and Wales.
9.2 Any disputes arising out of or in connection with these terms and conditions shall be subject to the exclusive jurisdiction of the courts of England and Wales.

By engaging our services, you acknowledge that you have read, understood, and agreed to these Terms and Conditions. These terms and conditions constitute the entire agreement between you and Smartpine, superseding any prior agreements or understandings, whether written or oral.
